  • Transferring Property held in partnership to ltd company

Hi, we are thinking of transferring our property partnership with 10 properties into a ltd company, 2 of the properties are held jointly with a family friend who would not be part of company, so can we just transfer our % of these 2 properties?

Apologies, I think my original post was unclear, What I meant was - how would HMRC view a asset that wasn't owned 100% in the shareholders names.

      Appreciate your reply though, thanks

        Have you consulted your accountant?
Lawyer (solicitor) - retired from practice, now supervising solicitor in a university law clinic. I do not advise by private message.

Litigants in Person should download and read the Judiciary's handbook for litigants in person: https://www.judiciary.uk/wp-content/..._in_Person.pdf

The transfer would be a disposal and subject to Capital Gains Taxes. 10 properties may require a large amount to be paid. Have you discussed this with your Accountant to check that there is no other way of achieving your aim, depending on what that actually is?
