Summary
Two companies joined together and took the name of one company not founded by me. We could have easily taken mine. My company had revenue, online presence, his company none of the above just an appropriate name.
We agreed on an equal share swap. I fulfilled my obligation, you guessed he didn't.
I am a Director of the company and he is of mine, he is a 50% shareholder of my company and I hold no formal shares of his.
There is a fallout, long story but this is where he denies any agreement to assign shares to me despite correspondence.
He conducts a disciplinary and I am summarily dismissed.
Now claims he owns my company and I am to cease all activity.
No salary paid for over 18 months although a dividend paid

I hold two company items that he is requesting a return. When asked what the description is and unique details he has made up spurious codes and references. I don't deny I have these items. As the company owes me in excess of £100k, has unfairly summarily dismissed me and basically screwed me over I am holding on to these. One key reason is that I ported my personal number over to the company Mobile contract and he is refusing to let me port it back. In essence, he is trying to simply close me down, take all my contacts and business and I am dealing with that via Lawyers.
The questions:
1. Can I legally hold on to these assets?
2. I'm owed significantly more than the assets are worth?
3. The question of unfair dismissal has yet to be tested?
