  • Employment Contract

    hi,

I have worked for the same company for 14 years or so - during that time we have gone through multiple acquistions and a de-merger.
My last employment contract was signed in 2015. Since then that legal entity is no longer part of the current business structure and looking on companies house was dissolved in 2017. Indeed when the companies de merged it was spuin off but they kept the bit of the business that im involved with.

I guess my question is do I have a valid employment contract ?
I have asked my employer for a copy of the contract and to explain the differences between it and a contract from its legal entity.

Now Im not saying i have any complaints to make, i dont - but I am curious as to what it means to have a contract with a company that doesnt exist anymore.

Anyone have any feedback on this kind of situation ? thanks.

I should add this in the UK.

If you are employed, which in this case you are, there a contract between you and your employer, the contract may be in the name of a previous legal entity that is no longer part of the business and has been dissolved but in my view a contract still exists. This is because your agreement to work for your employer and your employer’s agreement to pay you for your work forms a contract.

I would suggest though that you do ask your employer to rectify this situation by one of two ways:

    1. A letter on their letter headed paper confirming that their company [name] is now the legal entity employing you and that the terms and conditions under which you are employed are as per those dated xxxx provided under company [previous name].

    2. The better way would be to issue you the content of your original contract under the name of the new business and ensuring that there is a clause in their recognising that for the purpose of continuous employment your start date is your original one of 14 years ago.
