Company having a EGM to change Articles. 75% of attending or 75% of total members?

  • Company having a EGM to change Articles. 75% of attending or 75% of total members?

    My leaseholer management compamy has a vote in a few weeks on changing 2 articles which have become impractical.

    Can someone on here read the articles and let me know if it's 75% of member attending the meeting of 75% of total members. there's a lot of us it makes a big difference.

    A company may amend its articles of association by special resolution (s21 Companies Act 2006). A special resolution requires 75% of the total voting rights (s283). So 75% of members, assuming 1 share per member.

      NB what I said above is confirmed by article 6.2, which sensibly is consistent with company law in this regard.
