  • Advice please - Request by shareholder for independent audit . S.476 Companies Act

    I am a 33% shareholder in a business with two others. It was basically set up as a holding company for an office building which is rented out. They are directors and I am not. I became aware of financial irregularities and asked to see bank statements however they refused stating as a shareholder I was not entitled to see them. They have since refused to engage with me and continue to stonewall me.
    I have served them and the accountant with a formal request for an independent audit under Section 476 Companies Act 2006.
    Does anyone have any experience of doing this? What are the timescales for them to action this and what happens if they continue to stonewall me.

    I assume you have complied with the conditions in s476.

    Private companies have until 9 months after the financial year end to prepare accounts - s442.
