Dear all,
Please allow me to ask a simple question on controlling agreements:
1. Are there means to have controlling agreements made between a corporate entity and
- natural persons
- legal person (corporate entity)
without publication on commercial registers?
2. What if a contract was concluded under private law between a natural person and a corporate entity which gave the natural person all rights of a proper shareholder?
Would this contract then be deemed void?
Or would the natural person then be deemed a proper shareholder even without being mentioned in the aritcles of association?
