  • Franchise notice period wording

    Can you let me know what you think about this wording. Is the notice period to be given after the initial 2 years making 2 years and 3 months in total, or, can notice be given within the 2 years ago so you can terminate at 2 years and 1 day?

    I read it as, notice can be given within the 2 years and terminate at 2 years and 1 day.
    My partner reads it as notice to be given after the initial 2 years so your actually held in for 27 months in total.
    ....
    After a period of 2 years from the date of this agreement, either party may terminate this agreement without cause upon 3 months written notice.

    As above, there must be a period of 2 years so the earliest would be 2 years and 3 months, if you give notice at the 2 year mark, or you could give it earlier if you wish but can't terminate any earlier than 2 years and 3 months.

    I see your point, but I would take the more cautious approach and probably not worth the risk of being in breach of contract for unlawful termination for the sake of a few months.
