  • Help with growth shares, articles of association and my rights to the shares

    Does anyone here understand share agreements and growth shares? I would like if someone could cast their eye over an articles of association and a transfer of shares document.

    The company I left months ago allocated me growth shares and they forgot to have me sign cessation of them before leaving. They are about to acquire another company and want me to sign something (which is supposedly mandatory anyway) to get it done. The odd thing, they are offering £500 for me to get it done quickly, it surprises me they would do this just to make it quicker if technically I have no right on them.

    As they were growth shares, technically they were given to me at no value, only worth something as the company grows (naturally or through acquisition). Since I left, I should have no right to them, but they forgot to do the correct paperwork, which has now left me unsure.

    Please let me know if you think you could help. I have the original articles of association allocating my shares and the latest letter they want signed to transfer them back that I can share. I'm in the UK.
