    Hello everyone,

    Thank you for accepting me into the forum.

    I’m a minority shareholder in a UK-based company where the majority shareholders made certain promises regarding dividend distribution after a capital increase, but later changed their stance unilaterally. Funds have been retained without proper consultation or documentation, and communication has been evasive.

    I’d appreciate guidance on which subforum would be appropriate to explain the situation in more detail and seek advice on potential next steps.

      In most cases as a minority shareholder you will only benefit if the company is sold.

      The Companies Act 2006 contains provisions protecting minority shareholders from unfairly prejudicial treatment (s998), but unless you have a shed load of money and these shares are very valuable, don't even think about it.

      But please give more information if you would like to discuss this further.

        Minority shareholders have some rights, directors has 'fiduciary duties'.

        If you are a 'minority' shareholder, you need to look at becoming a 'collective'.
