    Can a director, with no delegated authority take any action affecting the Company without approval from a majority of the board ?

    Can a director become a signatory for the bank account without approval of the majority of directors ?


    Any relevant legislation, if possible, please.

    Usually there would be a form to fill out about company ownership when applying for new accounts. It would depend on the action you are talking about, becoming a signatory would usually require approval from the current signatories I believe.

      Thanks for your prompt and authoritative reply.
      The director concerned sometimes acts independently. He went in to the bank expecting to be made a signatory. Quite rightly he was sent away with a mandate form. The majority of directors had no knowledge of this.
      Would the bank accept a mandate which had not been approved by the board of directors ?
