share holders dispute

share holder who is silent partner as fraudulently tried to take over company ? thankfully with the help of company accountants we have rectified this.
Due to silent partner fraud and eratic behaviour could other two working directors force him out of company once valued by accountants ?

My limited understanding of Company law is that shareholders appoint or remove directors. Then why not call shareholder E.G.M and vote him off the board.
