  • Summons for annual return

    Hi everyone,

i have just opened a letter from companies house with a summons to appear at court for filing company's annual returns.
when I set up the company I was going to work for myself but circumstances changed and so the company has just sat redundant.
i didn't think I would need to do anything as I wasn't using it, and also set up the company at my old address and never changed this.

it was only yesterday that I bumped into who lived there and they gave me some post.

csn anyone advise what I should do??

many thanks for your help and advice

Unfortunately when you have a dormant company, as I have, you still have to make returns. Did you inform companies house about your change of address? If you don't want to file then you must dissolve the company.
These days it's all done on line and should only take a few minutes of your time.

Indeed, an annual return is just going through a number of screens to verify the info Companies House have is correct, with regards to company directors, shareholders, etc. That also includes verifying or updating the registered office address for the company. If you registered it at your home address and you've moved, you have a duty to update the address with CH, as they need to be able to contact you. You can keep a company dormant for years in which case you don't need to file accounts but you still need to keep the company's details up to date by filing the annual return. You have 28 days from the date of incorporation to file your return every year. Failure to do so can result in your company being dissolved and you could even be prosecuted. :scared:

You should contact Companies House as soon as you can, ring their help number, see here: http://www.companieshouse.gov.uk/con...ontactUs.shtml

Your first step should be to get in touch with Companies House.
