  • Help please - offering to buy my 20% shareholding - what do I do !

    Hello

    I am a 20% class B share holder left them around a year ago but still own my shares. Man and wife owners family firm 40% each class A shareholders asking me what are my valuation thoughts to relinquish my shares for them to pay me up.

    Advice please would be much appreciated. Do I need to tell them to give me an independent valuation and list of assets ? Or do I sit tight and wait ? Maybe they are going to get bought out and they want rid of me in the cheap !!

    I have attached the latest accounts details £200k turnover

    Do the accounts have a line for "shareholders' funds"?

      Hi atticus ? That’s all the info I was given ?

      what questions do I need to ask them please ? What do you mean by a line for shareholders funds ?

      man and wife owners have 40% class a shares each and I have 20% class b and I do not trust them one bit. I want to relinquish my shares and get as much money as I can or should I sit tight ?

        Hi again atticus appreciate your help, if you look at the attached screenshot on my original post it mentions the assets etc at £19k. Is this what you mean ?

          Thing is they are asking me to tell them what I think my shares are worth and I need to give them a figure ? Should it be them making me an offer ? Or is this the game they are playing ?

            You could think of a number that you would be happy to accept.

            Don't you think that if you ask them they would come back with a low number?

              No, it isn't. I remembered that I have been told the name of the company. Its filed accounts do not show the further information that I was hoping to see.

                Okay thanks so what typical things of info do I need to ask for copies of. What info do I have a right to see as an 20% class b shares shareholder ? Only then can I give a fair value to my shares for them to write me a cheque !

                  Valuation method is not a legal question. If you want a valuation of the company and your shareholding ...

                    Hi again so I gave them a figure and they have come back to me with a barrage of abuse really slanderous saying my offer is not accepted and they refuse to give any company info such as assets, meeting minutes, accounts etc etc basically told me to f*** off. I replied saying what is their counter offer and they said in there is no counter offer and accused me of speaking rubbish

                    so what next ? Do I just sit here ? Do I report them ? Do I ignore them ? What are my rights here etc

                      You have been told that your rights are minimal. You either agree a price with them or you do not sell your shares.

                      Have you consulted that accountant?
