I have setup a limited company with my business partner and we have a pre-existing basic partnership agreement for the purpose of buying a property. As I am funding 100% of the deal we agreed I shall recoup my contributions before proceeds of sale are split but what would be the best way to make this binding? Should this be a term added to the shareholder agreement regarding dividends or should we update the partnership agreement. If the SH agreement says 50/50 shares could I still rely on the terms of our partnership agreement or would it be overruled by the SH agreement. Thanks for any comments.
