Intellectual property rights when setting up new business

Hi,

My partner and myself have developed a product which we believe may give rise to intellectual property rights. We want to sell the product commercially however we are unsure whether to trade under a partnership or set up a limited company. Who would possess the intellectual property under these business arrangements?
