Please can you advise on the following. There is a proposal that a relative of a resident in the block of flats becomes a Director of the Residents Management Company. The resident is a member of the Residents Management Company but is not a Director. The relative is not resident in the block but has power of attorney and proxy for the resident. The MofA states that ‘no person who is not a Member of the Company shall in any circumstances be eligible to hold office as a Director' and that Clause 44 in Table A shall not apply to the Company.
